Terms and Conditions of Service

Please read these Terms and Conditions (“Terms,” “Agreement”) carefully before using the https://dawpro.solutions/ website (“Service”) and engaging in any services provided by Dawpro Solutions (“us,” “we,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Services Provided

Dawpro Solutions provides a range of digital services, including but not limited to:

    • Website Design and Development (including WordPress)

    • E-commerce Store Development

    • Custom Web Application Development

    • Cross-Platform Mobile Application Development

    • Website Hosting and Domain Management

    • Website Maintenance and Technical Support

    • IT Solutions and Consulting

The specific details, scope, features, and timeline for any project will be defined in a separate written Project Proposal or Statement of Work (SOW), which, once signed, shall form part of this Agreement.

2. Client Responsibilities

The client agrees to:

    • Provide all necessary content (text, images, logos, videos) required for the project in a timely manner. Delays in content submission may impact the project schedule.

    • Review and approve designs, wireframes, and milestones within the timeline specified in the SOW.

    • Ensure that all provided content is legally owned or licensed by the client and does not infringe on any third-party intellectual property rights.

    • Pay all agreed-upon fees as specified in the SOW or invoice.

3. Pricing, Payments, and Invoicing

A. Development Projects

    • Pricing for custom development is based on the scope defined in the SOW.

    • A non-refundable deposit (e.g., 50%) is required to commence work.

    • Remaining payments will be billed according to agreed-upon milestones (e.g., upon design approval, pre-launch, and final sign-off).

    • Final website files and access will only be delivered upon receipt of the final payment.

B. Recurring Services (Hosting, Maintenance)

    • Recurring services are billed on a monthly or annual basis, as agreed in writing.

    • Failure to pay recurring service fees may result in the suspension or termination of services, including website hosting and maintenance, after a reasonable notice period.

4. Intellectual Property (IP) and Ownership

A. Client Ownership

Upon final payment of the project fee, the client shall be granted full ownership and intellectual property rights to the completed, customized design and code produced specifically for the client, excluding any third-party proprietary software (e.g., WordPress core, licensed themes, or plugins).

B. Dawpro Solutions Ownership

We retain ownership of all generic development tools, pre-existing code libraries, methodologies, and know-how utilized in the project.

5. Website Hosting and Maintenance

A. Hosting

While Dawpro Solutions strives to provide 99.9% uptime, we cannot guarantee service uninterrupted by outside factors (e.g., hacking, data center issues, or acts of nature). We will make commercially reasonable efforts to restore service as quickly as possible.

B. Maintenance

Maintenance packages cover routine updates, security monitoring, and backups as detailed in the service agreement. Maintenance packages do not typically cover major redesigns, new feature development, or fixing issues caused by third-party plugins installed by the client outside of our management.

6. Limitation of Liability

Dawpro Solutions will not be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, or profits) arising from the use of or inability to use our services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to the client for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by the client to Dawpro Solutions for the specific service from which the claim arose in the six (6) months preceding the claim.

7. Termination

A. By Client

The client may terminate a project by providing written notice. If a project is terminated early, the client agrees to pay for all work completed up to the date of termination.

B. By Dawpro Solutions

We reserve the right to suspend or terminate services (including hosting and maintenance) if the client breaches these Terms (e.g., non-payment, use of services for illegal activity) after providing reasonable written notice.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of South Africa (Gauteng Province), without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
